PAYGO READER TERMS

Paygo Media, Inc. (“Paygo”, “our”, “we” or “us”) offers users (“User”, “you” or “your”) an online content publishing services as well as pay-as-you-go content purchasing services and other associated services (the “Services”), including via our website at paygo.media and through integrations with third party social media services, in accordance with the terms and conditions hereunder.

1.  Acceptance of the Terms

By entering to, connecting to, accessing or using the Services, you acknowledge that you have read and understood: (i) these Paygo Reader Terms, and (ii) Paygo’s Terms of Service and Privacy Policy (collectively, the "Terms") and you agree to be bound by them and to comply with applicable laws and regulations regarding your use of the Services and you agree that these Terms constitute a binding and enforceable legal contract between Paygo and you. Capitalized terms which are not defined herein, shall have the meaning ascribed to them in the Terms of Service. IF YOU DO NOT AGREE TO THESE TERMS, PLEASE DO NOT ENTER, CONNECT TO, ACCESS OR USE THE SERVICES IN ANY MANNER.

2.  Pay-as-you-Go

Paygo’s pay-as-you-go service enables you, with a click of a button, to choose online articles and content from leading writers and other media creators who use our Services (“Creators”), pay  or make a contribution for the access to the article/content of your choice, and consume such articles or content while rewarding Creators that you would like to support.

Payment for the content made available by Creators is available via trusted third-party payment services ( as may be updated under Paygo’s discretion) (“Payment Providers”). If you wish to purchase access rights to any Content, or make a contribution to a Creator , you will need to have a valid Payment Provider account and connect it to your Paygo Account to allow deposit and withdrawal of money in order to pay-as-you-go via the Paygo Service.

When registering your Paygo Account, Paygo may choose to grant you with initial complimentary amount so you can access your Content of choice and try out the Services. To purchase access for additional Content, you will need to refill your Paygo Account, each time at a minimum amount as indicated under the Services, which shall be deposited in your Paygo Account to be used for your pay-as-you-go choices.

3.  Creators Content

The articles and other digital Content offered through the Services are made available by Creators participating in our Service. The rights in these articles and Content are the property of the Creators (or their licensors) and may be subject to the terms and conditions of such Creators. If additional terms apply to the Content by the Creators in most cases these terms are published by the Creators, and we encourage you to read them and familiarize yourself with them. By accessing such Content via the Services, you represent to Paygo that you acknowledge and agree to the applicable Creator terms and conditions.

Paygo has no editorial control over the Content published by Creators. We do not guarantee the availability of any specific Creator, nor are we responsible for, and explicitly disclaim, the availability, substance, suitability, legality, accuracy, sufficiency, truthfulness, usefulness, quality or any other aspect pertaining to the Content, your access, enjoyment and use thereof. Although, in certain cases, Content made available on the Service may become unavailable due to restrictions by Creators or other legal or policy reasons. Paygo will have no liability to you for any such unavailability.

You acknowledge and agree that Paygo shall not be responsible or liable, directly or indirectly, for any damage or loss whatsoever caused, or alleged to be caused, by or in connection with use of, access to  or reliance on any Content made available in connection with the Services.

4.  Payment Providers Third Party Service

The Payment Providers services are offered exclusively by a third-party provider.. Paygo does not own, operate, or control the Payment Providers, and is not responsible for any service provided to you by such provider or by any third party engaged by them. We are not liable for any failure or performance of the Payment Providers service provider. You understand that your use of the Payment Providers service will also be subject to agreements or terms of use with the appropriate third-party provider .

5.  Limited License to Use the Paygo Services

Paygo is granting you a limited, personal, not exclusive, non-assignable, not-tradeable, non-sub-licensable, fully and immediately revocable at our discretion, license, to access and use the Services to display the Content on your personal device and to download and print pages under the condition that (i) such activity is solely for your personal recreational, education or other non-commercial use, or for your internal business purposes, (ii) you do not modify or prepare derivative works from the Content, (iii) you do not, not permit others to obscure, alter or remove any notice of copyright set forth on any pages of the Content, (iv) you do not, nor permit others, to otherwise reproduce, re-distribute, aggregate or publicly display any of the Services Content; (v) you use the Services in accordance with these Terms. No other rights in the Services or in the Content are grated.

You hereby agree that upon Paygo’s request you will immediately return and purge from your systems all materials and copies of the same, collected, created or used in breach of these terms.

6.  Changes to The Services

Paygo reserves the right, at its sole discretion, to modify, correct, amend, enhance, improve, make any other changes to, or discontinue, temporarily or permanently, the Services (or any part thereof) without notice, at any time. In addition, you hereby acknowledge that the Creators and the Content available through the Services may be changed, modified, edited or extended in terms of content and form or removed at any time without any notice to you. You agree that Paygo shall not be liable to you or to any third party for any modification, suspension, error, malfunction or discontinuance of the Services (or any part thereof).

7.  Amendments to the Terms

Paygo may change these Terms from time to time, at its sole discretion and without any notice. We will notify regarding substantial changes of these Terms through the Services and/or we will send you notifications regarding such changes to the e-mail address available in your Paygo Account information. Such substantial changes will take effect seven (7) days after such notice was provided on our Services or sent via email. Otherwise, all other changes to these Terms are effective as of the stated “Last Revised” date and your continued use of the Services after the Last Revised date will constitute acceptance of, and agreement to be bound by, those changes.

8.  General

These Terms do not, and shall not be construed to create any partnership, joint venture, employer-employee, agency, or franchisor-franchisee relationship between the parties hereto. Any claim relating to the use of the Services will be governed by and interpreted in accordance with the laws of the State of New York, without reference to its conflict-of-laws principles. Any dispute arising out of or related to your use of the Services will be brought in, and you hereby consent to the exclusive jurisdiction and venue in, the competent courts of the New York, NY .  If any provision of these Paygo Reader Terms is found to be unlawful, void, or for any reason unenforceable, then that provision will be deemed severable from these Terms and will not affect the validity and enforceability of any remaining provision. You may not assign, sublicense or otherwise transfer any or all of your rights or obligations under these Terms without Paygo's prior express written consent. No waiver by either party of any breach or default hereunder will be deemed to be a waiver of any preceding or subsequent breach or default.  Without limitation, you agree that a printed version of these Terms and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to these Terms to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form.
